What is a Say on Climate (SoC)?

 

A « Say on Climate » is a resolution submitted by a company to a vote of its shareholders at its Annual General Meeting (AGM). The purpose of this resolution is to seek shareholders’ views on the company’s climate strategy and/or its implementation. This initiative enables responsible shareholders to play an active part in decisions concerning the company’s climate policy.

For the Frenchsif, this is an essential tool for establishing effective shareholder dialogue.

At present, unlike other resolutions, the company is not obliged to submit this vote to its shareholders at the general meeting.

For the third year running, FIR is analysing the climate plans of companies issuing a Say on Climate, and for the first time this year, it has extended the scope of its analysis to Europe.

In September 2024, 21 companies in Europe and 6 in France proposed this vote at their general meetings.

Consultative and non-binding

It is essential to note that the vote on « Say on Climate » resolutions remains consultative. There is currently no binding legal framework governing these resolutions, which means that the opinion expressed by shareholders is not binding.

This year again, Frenchsif and ADEME analyse European companies that submit a Say on Climate to a shareholder vote at their general meetings. The Ethos Foundation and the World Benchmarking Alliance have joined the ACT analyses for the third time this year.
